1. Acceptance; Scope; Order of Precedence
These Terms of Service (“Terms”) govern your use of the Hector AI upload interface and related portals that transform a Request for Proposal (“RfP”) into a PowerPoint proposal (the “Service”). By uploading any content, you agree to these Terms.
These Terms are the master terms for the upload interface (trial and prepaid runs) and incorporate by reference our Privacy Policy, U.S. State Privacy Notice (if applicable), Cookie Notice, and Data Processing Addendum (DPA) (if/when executed). In case of conflict about personal data processing, the DPA governs.
Enterprise/VPC deployments are out of scope of this document and are governed by separate agreements.
2. The Service (High Level)
Hector AI transforms an RfP into a proposal rendered in your PowerPoint template. You may provide optional guidance/prompts (e.g., audience, phase count, tone). Hector works on a best-effort basis using commercial and in-house large language model (LLM) services and may not strictly follow prompts.
Beta/Preview Features. We may offer beta/preview features from time to time. Such features are provided AS IS, may be modified or discontinued, and may be subject to additional terms.
3. Inputs, Outputs, and Technical Constraints
3.1 Allowed Inputs
- RfP: PDF only (one or more PDFs).
- Template (optional): PowerPoint family files compliant with Microsoft Office
2016+ / Microsoft 365:
.pptx,.pptm,.potx,.potm,.ppsx,.ppsm. - Counts & Size: At least 1 PDF, max 10 PDFs, max total size 50 MB. One template file (optional).
3.2 Outputs
- Output format: .pptx (PowerPoint). No other output formats are included.
3.3 Template/Font Expectations
- Templates must be well-formed Office 2016+/Microsoft 365 files and follow PowerPoint Designer-compatible, modern best practices. You are responsible for supplying any brand fonts/assets and ensuring you have rights to use them.
3.4 Language Support
- Input Languages (closed list): Arabic, Bengali, Bulgarian, Chinese, Croatian, Czech, Danish, Dutch, English, Estonian, Finnish, French, German, Greek, Hebrew, Hindi, Hungarian, Indonesian, Italian, Japanese, Korean, Latvian, Lithuanian, Norwegian, Polish, Portuguese, Romanian, Russian, Serbian, Slovak, Slovenian, Spanish, Swahili, Swedish, Thai, Turkish, Ukrainian, Vietnamese.
- Output Languages (closed list): Bengali, Bulgarian, Chinese, Croatian, Czech, Danish, Dutch, English, Estonian, Finnish, French, German, Greek, Hindi, Hungarian, Indonesian, Italian, Japanese, Korean, Latvian, Lithuanian, Norwegian, Polish, Portuguese, Romanian, Russian, Serbian, Slovak, Slovenian, Spanish, Swahili, Swedish, Thai, Turkish, Ukrainian, Vietnamese. Outputs are supported only in Left-to-Right (LTR) languages. Right-to-Left (RTL) outputs (e.g., Arabic, Hebrew) are not supported.
4. Acceptable Use; User Guidance; Legal Compliance
4.1 Guidance Limits
You may provide guidance (e.g., “target CFO,” “3 phases”). Guidance must not request or encourage illegal or harmful content. Hector may summarize or re-frame content and may not perfectly follow instructions.
4.2 Prohibited Uses and Content
You agree not to upload or direct the Service to process:
- Illegal content or content that facilitates illegal activity (including but not limited to human trafficking, child labor, terrorist activity, or sanctions evasion).
- Sensitive/Regulated Data — Do not upload or include in prompts any of the following: protected health information (PHI); full payment card data; government ID numbers; biometric identifiers or templates; precise geolocation; special categories of personal data under GDPR (including data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade-union membership, genetic data, sexual orientation); or any other information subject to sectoral or heightened legal protections (e.g., HIPAA, GLBA). This Service is not designed to process such information, and any such submission is a material breach of these Terms. We may suspend processing and delete affected content without notice and have no obligation to recover or return data submitted in violation of this clause.
- Unlawful copying or use of copyrighted or third-party confidential materials without authorization.
- Content designed to procure regulated advice (medical, legal, tax, financial) from Hector.
4.3 Sanctions, Export, and Jurisdictional Controls
Because our core infrastructure and providers operate in/through the United States, you represent and warrant that you (and your users):
- are not located in, organized under the laws of, or ordinarily resident in any U.S. embargoed/sanctioned country or on any U.S. restricted list;
- will comply with U.S. law and your local law; and
- acknowledge we may decline or cease processing where we reasonably suspect non-compliance.
4.4 Your Responsibility
You are solely responsible for ensuring the lawfulness of your inputs and use of outputs in your jurisdiction(s). We may refuse or stop processing any RfP where we have a reasonable doubt about legality or risk.
5. Accounts; Security
You must protect access credentials, ensure authorized use, and implement reasonable organizational security. Do not include any confidential or sensitive data prohibited under Section 4.2 in your prompts or inputs.
6. Data Handling; Delivery; Retention
- Delivery. We deliver outputs via on-demand link(s) (e.g., to S3). You must download before the deadline stated in the delivery email/portal. After that deadline, links may expire and content may be deleted.
- Retention (defaults). Customer Content and Outputs: 360 days; Operational logs/telemetry: 24 months; Billing/records: as required by law.
- Deletion. You may request deletion (by contacting us). Standard backups are overwritten on normal cycles.
- Training. We do not use Customer Content or Outputs to train foundation models by default; any training would require your explicit opt-in.
- De-identified/aggregated data. We may use de-identified/aggregated metrics to improve the Service. You may opt out of such de-identified usage where required by law or upon reasonable request by emailing the privacy contact mentioned in the Privacy Policy page. (This does not include using your identifiable Customer Content.)
7. Third-Party Providers and Subprocessors
We use vetted providers (hosting, email, analytics, optional LLM APIs). The current list of third-party processors is maintained on our Subprocessors page (as updated from time to time) and is incorporated by reference.
The Service uses third-party infrastructure and model APIs, which currently may include OpenAI, Anthropic, Google Cloud Vertex AI, Perplexity, and Mistral (collectively, “Third-Party Providers”). As part of the upload/checkout flow, we will present (or link to) the then-current Third-Party Provider terms and policies (each, “Third-Party Terms”), together with version dates. By clicking “I agree” (or similar) to proceed with a Run, you acknowledge and accept the Third-Party Terms in addition to these Terms. If you do not accept any Third-Party Terms presented at upload, do not proceed with the Run. We may update the set of Third-Party Providers from time to time; any change will be reflected in the upload flow prior to your acceptance.
8. Intellectual Property; Licenses
- Your Content. You retain all rights to your Customer Content (RfPs, templates, brand assets) and to the Outputs, subject to payment below. Outputs. For both Trial Runs and Paid Runs, upon delivery of the Output, MZX assigns to you all right, title, and interest in and to the Output (excluding MZX’s pre-existing IP and tools). This assignment is subject to these Terms and does not affect the limitations of liability in Section 14 (including a $0 cap for Trial Runs).
- License to MZX. You grant us a limited, worldwide license to host, copy, process, transform, and transmit Customer Content and Outputs solely to provide the Service, deliver support, ensure security, and comply with law.
- Pre-existing IP. We retain all rights in our software, models, prompts, libraries, and methods.
9. Accuracy; Professional Responsibility; Regulated Advice
AI may make mistakes. Outputs may contain errors, omissions, or hallucinations and may not be tailored to your specific legal, financial, or technical standards. You must review, validate, and edit all Outputs before use or reliance.
The Service does not provide regulated advice (medical, legal, tax, financial). You remain fully responsible for your use of Outputs (including bids, proposals, and statements made to third parties).
10. Support; Availability; Credits
- Support hours: 09:00–19:00 EST, Monday to Friday (excluding public holidays).
- Target response time: within 24 working hours.
- Service availability: We implement state-of-the-art security and industry-standard measures, but we do not guarantee uninterrupted operation.
- Credits/Refunds: If a paid run fails due to a Service outage or a material AI Agent failure (our reasonable determination), your sole remedy is a re-run or refund/credit of the fee for that run.
11. Fees; Billing; Taxes; Refunds
- Model: Per-run pricing.
- Payments: You authorize our payment processors to process payments and handle payment data.
- Taxes: Fees are exclusive of taxes; you are responsible for applicable taxes unless legally exempt.
- Refunds: For outage/AI Agent failure, we will re-run or refund/credit the run fee. Otherwise, fees are non-refundable except as required by law.
- Trials: Trial runs are free; we have no payment or refund obligations for trial runs.
12. Term; Termination
- Term: Each paid run is a discrete transaction; there is no auto-renewal.
- Access Window: Download windows are limited; after the communicated deadline, links may expire and content may be deleted per retention schedules.
- Suspension/Refusal: We may suspend or refuse processing for legal, security, or policy reasons (including sanctions/export compliance, AUP violations, or reasonable suspicion of illegality).
13. Warranties; Disclaimers
- Mutual warranty: Each party warrants it has authority to enter these Terms.
- Your warranties: You warrant you own or have rights to submit and use all Customer Content and templates, that your use complies with U.S. and local law, and that you will not submit prohibited data/content.
- Service disclaimer: THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE USE.
14. Limitation of Liability
- Trial Runs: Our total liability is USD $0.
- Paid Runs: Our total liability for any claim arising from or related to a paid run is capped at the amount you paid for that run.
- Indirect damages: Neither party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits/revenue, even if advised of the possibility.
These limits apply to the fullest extent permitted by law and do not limit liability for amounts due, breach of IP use restrictions, or willful misconduct where such limitation is not permitted by law.
15. Indemnities
- By MZX (IP). We will defend and indemnify you against third-party claims alleging that the Service (excluding your Content/Outputs) directly infringes IP rights, subject to customary exclusions (e.g., combinations we did not supply, modifications not by us, or use contrary to these Terms). Our remedies may include modifying the Service, procuring rights, or suspending the affected feature with a refund of unused run fees.
- By You (Content). You will defend and indemnify MZX and its affiliates against claims arising from Customer Content, your templates, or your use of Outputs, including violations of law, third-party rights, or these Terms.
16. Compliance; Export; Anti-Bribery; Sanctions
You represent and warrant compliance with applicable export controls, anti-corruption, and sanctions laws. You will not use the Service in violation of such laws or in jurisdictions where such use is prohibited. We may take actions reasonably necessary to comply with law.
17. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email and/or portal notice with an effective date. By uploading or using the Service after the effective date, you accept the updated Terms. If you object to material changes, your remedy is to stop using the Service (no ongoing subscriptions exist for this offer).
18. Notices
Notices must be sent to our Legal Contact (and are deemed given upon sending) or to your email or portal account contact. Operational or transactional notices (e.g., delivery links) may be sent from system email addresses.
19. Governing Law; Venue
These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts of Ireland for any dispute not otherwise subject to mandatory arbitration or alternative procedure agreed in writing.
20. Miscellaneous
- Assignment. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a corporate transaction.
- Force Majeure. Neither party is liable for delays/failures due to causes beyond reasonable control.
- Publicity. We will not use your name or marks without permission, except to identify you as a customer in a list (if applicable) or as required by law.
- Severability; Waiver. If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing.
- Entire Agreement. These Terms (and incorporated documents) are the entire agreement for the upload interface and supersede prior or contemporaneous understandings for this offer.
Appendix A — Definitions
- Customer Content: Your uploaded RfPs, templates, brand assets, instructions/prompts, and related data.
- Output(s): The .pptx deliverable generated by the Service.
- Run: A single processing job that ingests one or more PDFs (and optional template) to produce an Output.
- Trial Run: A Run at no charge.
- Paid Run: A Run purchased on a per-run basis or in a package of runs.
